These terms and conditions (the "Terms") govern your access to and use of Jay Team's mobile applications and websites that link to or reference these Terms (collectively, the "Site"). Jay Team is operated by Jay Team LLC, a North Carolina registered company. Your use of the Site constitutes your acceptance of these Terms.

1. Definitions

"User" is anyone who accesses, browses, or in any way uses the Site. "You," "Your," and "Yourself" refer to the User. "We," "Us," "Our," and "Jay Team" refer to Jay Team LLC, a North Carolina company with offices at 1391 Kildaire Farm Rd, PMB 1073, Cary, NC 27511. "Content" means text, images, photos, audio, video, and all other forms of data or communication. "Your Content" comprises materials you submit to the Site. "User Content" means Content that Users submit. "Jay Team Content" means Content created by Jay Team. "Site Content" encompasses all Content available on the Site.

2. Eligibility

If you are a minor (under the age of 18), you may use the Site only with the consent and under the supervision of your parents or legal guardians. If you are 13 years or younger, please do not use this Site or any of its services for any purpose. You must be at least 18 years of age to create or use a business account.

You may not access the Site if (1) you believe you are a competitor of ours, (2) we deem you a competitor of ours, or (3) we have previously banned you from the Site. If you use the Site on behalf of a company or organization, you represent that you are an authorized representative with the authority to bind it to these Terms.

3. Changes to the Terms

We may modify these Terms from time to time — for example, to reflect changes to the law or to the Site. Changes will not apply retroactively and will become effective no sooner than thirty days after they are posted for pre-existing accounts; however, changes addressing new functions or made for legal reasons will be effective immediately. If you do not agree to the modified Terms, you should discontinue your use of the Site. Your continued use after any posted modification indicates your assent to the modified Terms.

4. User Accounts

To use some features of the Site, you may be required to create an account and provide information about yourself. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason. You may not impersonate anyone, provide an email address other than your own, or create multiple accounts.

5. Use of the Site

We grant you permission to use the Site subject to the restrictions in these Terms. In using the Site you may be exposed to Content that is inaccurate or objectionable; Jay Team does not endorse such Content. Do not use the Site in a way that distracts you from obeying traffic or safety laws.

6. Use Restrictions

You agree not to, and will not assist or enable others to:

use the Site to threaten, stalk, defraud, incite, harass, or advocate the harassment of another person, or otherwise interfere with another User's use of the Site;
use the Site to submit or transmit spam, chain letters, junk email, pyramid schemes, or other mass messaging;
use the Site for promotional or commercial purposes except as expressly allowed in writing by Jay Team;
use the Site in a manner that may create a conflict of interest, or to write fake or defamatory reviews;
use the Site to promote bigotry or discrimination against any persons;
use the Site to violate any third-party rights, including copyright, trademark, patent, trade secret, privacy, or publicity rights;
use the Site to submit or transmit illegal content, or to solicit personal information from or harm minors;
use the Site in violation of these Terms or any applicable law;
modify, reproduce, distribute, create derivative works of, publicly display, sell, or exploit the Site or Site Content (other than Your Content) except as expressly authorized;
reverse engineer any portion of the Site, except as permitted by law;
remove or modify any copyright, trademark, or other proprietary-rights notice;
use any robot, spider, or other automated means to access, scrape, or index the Site or any Site Content;
take any action that imposes an unreasonable or disproportionately large load on our systems; or
attempt to gain unauthorized access to the Site, accounts, or networks; transmit viruses; interfere with the proper working or security of the Site; or make any untruthful or defamatory statements.

7. Responsibility for Your Content

You alone are responsible for Your Content and assume all risks associated with it, including anyone's reliance on its accuracy or any disclosure that makes you personally identifiable. You represent that you own, or have the necessary permissions to use and authorize the use of, Your Content as described here. You may not imply that Your Content is sponsored or endorsed by Jay Team. You may expose yourself to liability if Your Content violates any third-party right, is false or defamatory, is unlawful, exploits or harms minors, or violates any law or regulation.

8. Use of Content

We may remove, screen, edit, or reinstate User Content from time to time at our sole discretion, for any reason or no reason, and without notice to you. We have no obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content. User Content does not necessarily reflect the opinion of Jay Team.

9. Site Availability

We reserve the right to modify, update, or discontinue the Site at our sole discretion, at any time, for any or no reason, and without notice or liability.

10. Copyright Dispute Policy (DMCA)

We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA") and terminate the accounts of repeat infringers. If you are a copyright owner or agent and believe your copyright is being infringed in connection with the Site, please send a written notification to our Designated Agent including: (i) identification of the copyrighted work; (ii) identification of the allegedly infringing Content and its location; (iii) a statement that you have a good-faith belief the use is not authorized; (iv) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act; and (v) your physical or electronic signature and contact information. You may be liable under Section 512(f) of the DMCA if you materially misrepresent that content is infringing.

11. Unauthorized Access & Investigations

We reserve the right to use whatever lawful means we deem necessary to prevent unauthorized access to or use of the Site. We are under no obligation to monitor the Site, but we reserve the right to investigate possible violations of these Terms, block Users, and refer matters to law enforcement. We may disclose information to third parties, including Your Content, in accordance with our Privacy Policy.

12. Termination

We may terminate or suspend your account or ability to use the Site, in whole or in part, at our sole discretion, for any or no reason, and without notice or liability. For example, we may do so if you breach these Terms or are suspected of involvement in illegal activity. You may terminate these Terms at any time by closing your account and discontinuing your use of the Site. In the event of any termination, these Terms will continue in full force and effect to the extent applicable.

13. Intellectual Property Rights

We own the Jay Team Content, including the visual interfaces, interactive features, graphics, design, compilation, computer code, software, and all other elements and components of the Site, excluding User Content and Third Party Content. We also own the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights associated with the Jay Team Content and the Site. You may not modify, reproduce, distribute, create derivative works of, publicly display, or exploit any of the Jay Team Content except as expressly authorized by us.

14. Warranties, Disclaimers, and Limitation of Liability

THE SITE AND ALL SITE CONTENT ARE MADE AVAILABLE TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS. JAY TEAM MAKES NO WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, EXPRESS, STATUTORY, OR IMPLIED, AS TO THE OPERATION AND FUNCTIONALITY OF THE SITE, THE ACCURACY OR COMPLETENESS OF ANY SITE CONTENT, OR THE PRODUCTS AND SERVICES ASSOCIATED WITH THE SITE. JAY TEAM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

JAY TEAM DISCLAIMS ALL LIABILITY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF OR DAMAGE TO REPUTATION, OR LOSS OF INFORMATION OR DATA. YOUR USE OF THE SITE AND SITE CONTENT IS AT YOUR OWN DISCRETION AND RISK. Some jurisdictions do not allow certain exclusions or limitations, so the above may not fully apply to you. JAY TEAM'S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (I) THE AMOUNT YOU PAID, IF ANY, TO JAY TEAM IN CONNECTION WITH THE SITE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (II) US $1.00.

15. Indemnity

You agree to defend, indemnify, and hold harmless Jay Team, its members, managers, subsidiaries, affiliates, suppliers, licensors, and partners, and their officers, directors, employees, agents, and representatives, including costs, liabilities, and legal fees, from any claim or demand made by any third party due to or arising out of (i) your access to or use of the Site, (ii) your violation of these Terms, or (iii) your infringement of any intellectual property or other right of any person or entity.

16. Third Parties

The Site may include links to other websites (each, a "Third Party Site"). We do not control or endorse any Third Party Site and are not responsible for its availability or contents. Your use of a Third Party Site is at your own risk.

17. Choice of Law and Venue

Any dispute about or involving the Site or Jay Team will be exclusively governed by the laws of the State of North Carolina, without regard to its conflict-of-law provisions. You agree to the personal and exclusive jurisdiction and venue of the state and federal courts in and for Wake County, North Carolina.

18. Mediation and Arbitration

If any dispute arising out of or relating to the Site, Jay Team, or these Terms cannot be settled through negotiation, the parties agree first to try in good faith to settle it by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration or litigation. If mediation fails, the dispute shall be finally settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. THE PARTIES KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE THEIR RIGHT TO A TRIAL BY JURY. In any action to enforce these Terms, the prevailing party shall be entitled to recover its costs, including reasonable attorneys' fees.

19. Force Majeure

Neither party shall be liable for any failure to perform its obligations where such failure results from acts of God, national emergency, or other causes reasonably beyond its control.

20. Miscellaneous

No agency, partnership, joint venture, or employment is created by these Terms, and you do not have authority to bind us in any respect. We may provide notices to you by email, regular mail, or postings on the Site. These Terms contain the entire agreement between you and us regarding the use of the Site and supersede any prior agreement on that subject matter. Our failure to enforce any right or provision is not a waiver of it. If any provision is found unenforceable, it shall be changed and interpreted to best accomplish its objective, and the remaining provisions shall remain in full force and effect. These Terms are not assignable or transferable by you without our prior written consent, but may be assigned by us without restriction. Section titles are for convenience only and have no legal or contractual effect.
